1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zoraya LLC, a Texas limited liability company ("Zoraya," "we," "us," or "our"), governing your access to and use of the Zoraya platform, including the website at zoraya.app, all related applications, features, content, and services (collectively, the "Service").

By creating an account, accessing the Service, or clicking to accept these Terms, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on zoraya.app with a revised effective date. Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

You must be at least 18 years of age to use the Service. By using Zoraya, you represent and warrant that you meet this requirement. We do not knowingly collect information from or direct the Service to individuals under 18. If we learn that a user is under 18, we will terminate that account and delete associated data.

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@zoraya.app if you suspect unauthorized access to your account.

You may not create more than one account per person, transfer your account to another party, or use another person's account without their permission.

3. DESCRIPTION OF SERVICE

Zoraya is a relationship intelligence platform that synthesizes Western astrology, Chinese BaZi (Four Pillars of Destiny), and Zi Wei Dou Shu astrological systems to generate personalized compatibility readings, personal readings, and AI-assisted guidance ("Readings"). The Service is available through the following subscription tiers and one-time report products:

Subscription Tiers (billed monthly, auto-renewing):

• ·Free — limited access to chart data and partial readings
• ·Star ($14.99/month) — full Western and Chinese compatibility and personal readings
• ·Lyra ($34.99/month) — Star features plus expanded BaZi sections, timing, Magnetic Pull, monthly forecast, and Lyra Guide (30-minute sessions, no persistent memory)
• ·Venus ($59.99/month) — all Lyra features plus The Pull (sexual compatibility), extended BaZi sections, weekly forecast, Venus Guide (persistent memory, 40-minute sessions), Oracle Journal, and a discount on the Wedding Report

One-Time Report Products:

• ·The Intensive ($159.00) — a 16-section personal deep-dive report
• ·Wedding Report ($397.00; $317.00 for Venus subscribers) — a 20-section dual-system marriage compatibility report

Zoraya Readings are generated using artificial intelligence and astrological data. They are provided for informational, entertainment, and self-reflection purposes only. They do not constitute professional advice of any kind, including legal, financial, medical, or psychological advice. You should not make major life decisions based solely on Zoraya Readings.

4. SUBSCRIPTIONS, BILLING, AND CANCELLATION

4.1 Subscription Terms
Paid subscription tiers (Star, Lyra, Venus) are billed on a monthly basis. Your subscription begins on the date you subscribe and automatically renews each month on the same calendar date until you cancel. By subscribing, you authorize Zoraya to charge your payment method on file on each renewal date at the then-current subscription price.

4.2 Price Changes
We reserve the right to change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not cancel before the price change takes effect, your continued use of the Service constitutes acceptance of the new price.

4.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features through the end of the period for which you have already been charged. Cancellation does not entitle you to a refund for the current billing period.

4.4 Refund Policy
All subscription fees and one-time report purchases are non-refundable. This includes monthly subscription charges, The Intensive report, and the Wedding Report. We do not offer partial refunds, prorated refunds, or credits for unused portions of any subscription period or one-time purchase. If you have questions about a charge, contact us at hello@zoraya.app before initiating a dispute with your payment provider.

4.5 Failed Payments
If a payment fails, we will attempt to process it again. If payment cannot be collected, your account may be downgraded to the Free tier and access to paid features will be suspended until payment is resolved. We are not liable for any loss of access to content or features resulting from a failed payment.

5. ACCEPTABLE USE

You agree to use Zoraya only for lawful purposes and in accordance with these Terms. You agree that you will not:

• ·Use the Service if you are under 18 years of age
• ·Resell, sublicense, or commercially distribute any Readings, content, or features of the Service without our express written permission
• ·Scrape, crawl, index, or otherwise extract data from the Service by automated means
• ·Copy, reproduce, reverse engineer, decompile, or attempt to extract the source code of any part of the Service
• ·Use the Service to generate content for commercial astrology services, competing platforms, or resale to third parties
• ·Impersonate any person or entity or misrepresent your affiliation with any person or entity
• ·Submit false, inaccurate, or misleading birth data or other information to the Service
• ·Interfere with or disrupt the integrity or performance of the Service or its infrastructure
• ·Circumvent any access controls, security measures, or subscription gating mechanisms
• ·Use the Service in any manner that could damage, disable, overburden, or impair Zoraya's systems
• ·Harass, abuse, or harm another person through use of the Service

Violation of this section may result in immediate termination of your account without notice or refund.

6. BIRTH DATA, PRIVACY, AND DATA RETENTION

Zoraya collects birth data (date, time, and location of birth) that you voluntarily provide in order to generate astrological Readings. This is the primary personal data used by the Service. We do not collect financial credentials, government IDs, or sensitive personal data beyond what is necessary to deliver the Service.

AI Guide Conversations: If you use the Lyra or Venus Guide features, your conversation transcripts are retained for up to 30 days and then deleted. Venus tier users' Guide memory — including patterns, relationship context, and session summaries — is retained as part of the persistent memory architecture for as long as your Venus subscription remains active.

We do not sell your personal data to third parties. We may share data with service providers who assist in operating the platform (including Clerk for authentication, Supabase for database hosting, Stripe for payments, and Anthropic for AI processing) under appropriate data processing agreements.

Our full Privacy Policy, which is incorporated into these Terms by reference, is available at zoraya.app/legal. The Privacy Policy governs our collection, use, and retention of your personal data in detail.

7. INTELLECTUAL PROPERTY

All content, features, functionality, software, text, graphics, logos, and trademarks included in the Service are the exclusive property of Zoraya LLC or its licensors and are protected by applicable intellectual property laws.

Your license to use the Service is personal, non-exclusive, non-transferable, and revocable. It permits you to access and use the Service for your own personal, non-commercial purposes. No other rights are granted.

Readings generated by Zoraya are provided to you for personal use only. You may not reproduce, distribute, publish, or commercially exploit Readings without our prior written consent.

You retain ownership of any birth data and personal information you submit. By submitting information to Zoraya, you grant us a limited license to use that information solely to provide the Service to you.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 No Professional Advice
THE SERVICE IS PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY. ZORAYA READINGS DO NOT CONSTITUTE AND SHOULD NOT BE RELIED UPON AS LEGAL, FINANCIAL, MEDICAL, PSYCHOLOGICAL, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. ALWAYS SEEK THE ADVICE OF QUALIFIED PROFESSIONALS FOR DECISIONS OF CONSEQUENCE.

8.2 No Guarantees
ZORAYA MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF THE SERVICE OR ANY READINGS GENERATED THEREBY. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZORAYA LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ZORAYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ZORAYA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ZORAYA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

9. DISPUTE RESOLUTION AND ARBITRATION

9.1 Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

9.2 Informal Resolution
Before initiating any formal dispute process, you agree to contact us at hello@zoraya.app and attempt in good faith to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to binding arbitration as set forth below.

9.3 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") that cannot be resolved informally shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in Brazoria County, Texas, or, at your election, by telephone or videoconference.

The arbitrator shall have the authority to award any remedy available at law or in equity. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be allocated in accordance with AAA rules, except that Zoraya shall bear any AAA filing fees in excess of the amount you would have paid to file a lawsuit in court.

9.4 Class Action Waiver
YOU AND ZORAYA EACH AGREE THAT ANY DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If a court or arbitrator determines that this class action waiver is unenforceable with respect to a particular claim, that claim shall be severed and litigated in court while all other claims proceed in arbitration.

9.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Brazoria County, Texas to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

10. TERMINATION

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, conduct that we determine to be harmful to other users or to Zoraya, non-payment of subscription fees, or extended periods of inactivity.

You may terminate your account at any time by contacting us at hello@zoraya.app. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) shall survive.

11. GENERAL PROVISIONS

11.1 Entire Agreement
These Terms, together with our Privacy Policy available at zoraya.app/legal, constitute the entire agreement between you and Zoraya regarding your use of the Service and supersede all prior agreements and understandings.

11.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

11.3 No Waiver
Zoraya's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

11.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Zoraya may assign its rights and obligations without restriction.

These Subscription Terms govern your purchase and use of paid subscription plans through zoraya.app. All billing occurs exclusively through zoraya.app — not through Apple App Store, Google Play Store, or any third-party platform.

SUBSCRIPTION PLANS

BILLING AND AUTO-RENEWAL

Payments are processed by Stripe, Inc. Monthly plans renew automatically at the end of each billing period. Your payment method will be charged automatically unless you cancel before the renewal date. You may cancel at any time through account settings at zoraya.app.

CANCELLATION

Cancel at any time through account settings or by contacting hello@zoraya.app. Cancellation takes effect at the end of the current billing period. You retain access to paid features through that date, then your account downgrades to Free.

REFUND POLICY

No refunds are issued for partial billing periods on monthly subscriptions. The Intensive Report is non-refundable once rendered, unless not delivered due to technical failure on our end. Billing errors or duplicate charges may be submitted to hello@zoraya.app within 14 days.

AI GUIDE SESSION CAPS

Lyra Lite Guide: 30-minute session cap, 10-minute inactivity timeout. Venus Full Guide: 40-minute session cap, 10-minute inactivity timeout. Sessions close automatically at these limits.

AI GUIDE MEMORY (VENUS)

• ·Guide memory is stored by Zoraya and used solely to personalize your interactions.
• ·You control what you share. Zoraya is not responsible for information you voluntarily provide.
• ·Request memory deletion at any time via hello@zoraya.app.
• ·Upon cancellation or downgrade from Venus, guide memory is retained 30 days then deleted.

GOVERNING LAW

These Subscription Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Any dispute about your subscription, billing, or payments is handled the same way described in the "Governing Law and Disputes" section of our Terms of Service above: binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, held in Brazoria County, Texas, on an individual basis only. You and Zoraya both waive the right to bring or take part in any class or representative action over a subscription dispute.

This Privacy Policy describes how Zoraya collects, uses, stores, and shares your personal information when you use the Platform. By using the Platform, you agree to the practices described here.

INFORMATION WE COLLECT

When you share information about third parties in guide sessions or compatibility readings, you are responsible for ensuring you have appropriate basis to share that information. We process it solely to provide your reading or guide response.

YOUR RIGHTS

You may access and update your data through account settings. You may request account deletion or guide memory deletion at any time by contacting hello@zoraya.app. Deletion requests are processed within 30 days.

CHILDREN'S PRIVACY

The Platform is not directed to individuals under 18. We do not knowingly collect personal information from minors.

INTERNATIONAL USERS

Zoraya is operated from the United States. If you access the Platform from outside the US, your information will be processed in the United States.

Depending on where you live, you may have certain rights regarding your personal data. Residents of California have rights under the California Consumer Privacy Act (CCPA), including the right to know what personal data we collect, the right to request deletion of your data, and the right to opt out of the sale of personal data. We do not sell personal data. Residents of Texas have rights under the Texas Data Privacy and Security Act (TDPSA), including the right to access, correct, delete, and obtain a copy of your personal data, and the right to opt out of targeted advertising. Users in the European Economic Area and United Kingdom have rights under the General Data Protection Regulation (GDPR) and UK GDPR, including the right to access, rectify, erase, and port your personal data, and the right to object to or restrict processing. To exercise any of these rights, contact us at hello@zoraya.app. We will respond to verified requests within the timeframe required by applicable law.

CHANGES TO THIS POLICY

We may update this Policy at any time with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
